Terms & Conditions of Business

1. Structure of Core Operations

Agricultural Eco Tech Ltd operates two interlocked domestic business divisions:

• Division A (Commodity Aggregation & Trade): Sourcing, grading, drying, and warehousing of Cocoa, Cotton, Cashew Nuts, and Palm Fruit from Middle Belt agricultural cooperatives. Aggregated commodities are sold strictly within Nigeria to local trading houses and domestic exporters.
• Division B (Mechanization Systems): Sourcing tractors, harvesters, and structural farm implements from trusted domestic importers to sell, lease, and service out of our Karu base.

2. Commodity Aggregation & Quality Standards for Exporters

• Export-Grade Criteria: All incoming shipments of cocoa, cotton, cashew nuts, and palm fruit must undergo physical testing and verification at our sorting nodes to meet export-ready standards.
• Grading Integrity: Because our target buyers are domestic exporters, the company applies strict parameters for moisture levels, impurity percentages, and bean/nut size counts to ensure international compliance down the supply chain.
• Rejection Clauses: We reserve the right to adjust purchasing pricing tiers or reject crop batches failing to match these rigorous export-ready baselines.

3. Machinery Sourcing, Leasing, and Maintenance

• Sourcing Network: Heavy farm machinery is procured directly from established domestic importers, ensuring equipment is optimized for Nigerian agricultural terrains before sale or lease.
• Importer Supply Chain Liability Waiver: Agricultural Eco Tech Ltd leverages established local import networks for all equipment sourcing. In the event that a third-party domestic importer experiences international supply chain disruptions, manufacturing bottlenecks, ocean freight delays, or port clearance backlogs within Nigeria, Agricultural Eco Tech Ltd shall be held entirely harmless. We are not liable for any direct financial losses, missed farming seasons, or operational downtime suffered by the buyer or lessee due to these external partner delays.
• Field Support Proximity: Routine maintenance and emergency repairs are deployed locally from our Karu base. We leverage local networks for spare parts to ensure equipment does not sit idle.
• Liability Boundaries: The company is not liable for structural damage, lost harvest yields, or downstream engine breakdown triggered by operator negligence, lack of lubrication, or unauthorized mechanical modifications.

4. Financial Terms and Price Adjustments

• Pricing Schedules: All sales quotes for equipment, leasing fees, or bulk commodity supply agreements to local exporters are bound strictly to written pro-forma invoices sent from info.ecoagrobusiness@gmail.com.
• Market-Driven Price Volatility Disclaimer: Because our commodity sales are linked directly to international export values, and our machinery procurement is dependent on import valuations, all pricing quotes are highly subject to broader macroeconomic market forces. Agricultural Eco Tech Ltd reserves the exact right to revise, adjust, or withdraw active price quotes without prior notice in response to extreme foreign exchange (FX) fluctuations, shifts in global commodity index markets, or sudden regulatory tariff adjustments within Nigeria. Active quotes are only locked once a binding deposit or written purchase order is formally executed and acknowledged by our management.
• Default Clauses: Delinquencies on machinery lease payments grant Agricultural Eco Tech Ltd structural repossession rights without prior litigation.

5. Dispute Resolution and Arbitration Timeline

Any dispute, controversy, or claim arising out of payment discrepancies, commodity grading, or equipment lease defaults shall be handled strictly via the following time-bound protocol before any party can resort to a court of law:

• Phase 1: Amicable Negotiation (Days 1 to 14): The aggrieved party must issue a formal written notice of dispute to info.ecoagrobusiness@gmail.com. Both parties agree to enter good-faith bilateral negotiations within fourteen (14) calendar days of the notice to reach an amicable resolution.
• Phase 2: Mediation (Days 15 to 45): If the dispute is not settled within the initial 14-day negotiation period, the matter shall immediately be referred to a neutral mediator agreed upon by both parties within Nasarawa State. The mediation process shall be conducted and completed within thirty (30) calendar days from the date of the mediator's appointment.
• Phase 3: Binding Arbitration (Days 46 to 90): If mediation fails to yield a signed settlement within the 30-day window, the dispute shall be resolved through final and binding arbitration under the Arbitration and Mediation Act of Nigeria. The arbitration shall take place in Lafia or Karu, Nasarawa State, before a single arbitrator. The arbitrator's decision shall be final, and the cost of arbitration will be shared equally unless the arbitrator rules otherwise.
• Litigation Bar: No party shall initiate legal proceedings in a court of law until this full ninety (90) day resolution timeline has been exhausted in good faith.

6. Governing Law

These Terms are governed by, construed, and enforced in full accordance with the laws of the Federal Republic of Nigeria.
